Standard Terms & Conditions

1. Definitions
- “Agency” refers to Simpatico.Agency Ltd.
- “Client” refers to the individual or entity engaging the Agency’s services.
- “Services” refers to any work performed by the Agency for the Client.
2. Services Provided
- 2.1 The Agency offers services including, but not limited to, website design, development, SEO, photography, videography, media creation, social media management, digital marketing, branding, and general consultancy.
- 2.2 Specific services for each project will be agreed in advance.
3. Project Process
- 3.1 The Client agrees to use the Agency’s designated project management tools to streamline communication and facilitate project efficiency.
- 3.2 The Client is responsible for timely provision of content, feedback, and approvals.
- 3.3 Any changes requested after sign-off may incur additional charges, unless otherwise agreed in advance.
4. Pricing and Payment Terms
- 4.1 Work will only commence once any required deposit is received.
- 4.2 Payment terms are 14 days from the invoice issue date unless otherwise agreed.
- 4.3 Late payments may incur interest at [X]% per month.
- 4.4 The Agency reserves the right to pause work on overdue accounts.
5. Intellectual Property and Copyright
- 5.1 Ownership of the website and deliverables transfers to the Client upon full payment.
- 5.2 The Agency retains the right to display the work in its portfolio.
- 5.3 Stock media remains subject to its original licensing terms.
- 5.4 The Client warrants that any content provided does not infringe on any third-party rights and indemnifies the Agency against any claims arising from the use of Client-provided content.
6. Revisions and Amendments
- 6.1 The Client is entitled to two rounds of revisions before additional charges apply.
- 6.2 Additional revisions will be charged at the Agency’s standard hourly rate.
7. Third-Party Services
- 7.1 Third-party services (e.g., domains, hosting, plugins) may incur additional costs, to be agreed upon in advance.
- 7.2 The Client agrees to cover pass-through costs for the duration of any subscriptions.
- 7.3 The Agency is not responsible for the performance of third-party services but will make reasonable efforts to resolve any issues.
8. Maintenance and Support
- 8.1 Ongoing maintenance and support are available at an additional cost.
- 8.2 Basic training will be provided during project handover.
9. Client Responsibilities
- 9.1 The Client agrees to provide all necessary content, images, and brand assets unless the Agency is contracted to create them.
- 9.2 The Agency will not commence work until all required materials are submitted by the Client.
10. Termination and Cancellation
- 10.1 Either party may terminate the agreement with 30 days’ written notice.
- 10.2 The Client agrees to pay for all work completed up to the termination date.
- 10.3 The Agency reserves the right to terminate if the Client breaches these terms.
11. Liability and Warranty
- 11.1 The Agency’s liability is limited to the total amount paid for the project.
- 11.2 The Agency provides no warranty for uninterrupted or error-free operation of websites or services.
- 11.3 The Agency is not liable for any consequential, incidental, indirect, or special damages.
12. Confidentiality
- 12.1 Both parties agree to keep shared information confidential during and after the project.
- 12.2 The Agency may disclose that the Client is a customer but will not share project details without permission.
13. Dispute Resolution
- 13.1 Any disputes shall first be attempted to be resolved through good-faith negotiation.
- 13.2 If negotiation fails, disputes shall be settled by arbitration.

14. Modifications to Terms
- 14.1 The Agency reserves the right to modify these terms.
15. Acceptance of Terms
- 15.1 By engaging the Agency’s services or signing a project proposal, the Client acknowledges and accepts these Terms and Conditions.
